LIMITED USE AGREEMENT (LUA)

1. DEFINITIONS
For the purposes of this Limited Use Licence Agreement (“Agreement”):

“Publisher” means CHESTNUT TREE LEARNING.

“Materials” means all content provided with the ScratchJr Creative Coding Textbook & Resource Pack, including but not limited to textbooks, lesson plans, ScratchJr project files (.sjr), videos, music, sound effects, songs, dances, movement routines, illustrations, characters, worksheets, and any associated multimedia or digital downloads.

“User” means the individual or institution that has purchased or otherwise lawfully obtained the Materials.

“Limited Use Licence” means the limited, non-exclusive, non-transferable right granted under this Agreement.
2. ACCEPTANCE OF TERMS
By purchasing, accessing, downloading, installing, or using the Materials, the User acknowledges that they have read, understood, and agreed to be bound by this Limited Use Licence Agreement.
If the User does not agree to these terms, the User must not use the Materials.
3. LICENCE GRANT
The Publisher grants the User a non-exclusive, non-transferable, revocable Limited Use Licence to use the Materials solely for educational purposes, subject to the terms of this Agreement.
This Agreement grants a licence only. No ownership rights are transferred to the User.
4. PERMITTED USES
Subject to continuous compliance with this Agreement, the User may:

Use the Materials for in-person classroom instruction;

Display the Materials on classroom screens or projectors;
-
Print worksheets for students within the User’s class or institution;
-
Save and load ScratchJr project files on classroom devices;
-
Adapt lesson plans for the User’s personal teaching use only;
-
Create new ScratchJr projects inspired by the Materials.
5. PROHIBITED USES AND RESTRICTIONS
Unless expressly authorized in writing by the Publisher, the User shall not:

Upload, post, store, or transmit any Materials on the internet, including but not limited to Google Classroom, Seesaw, ClassDojo, YouTube, cloud storage services, or websites;

Distribute, share, or provide the Materials, in whole or in part, in digital or physical form, to any third party;
-
Reproduce, modify, translate, adapt, sublicense, sell, resell, or create derivative works from the Materials;
-
Use any music, songs, or dance routines contained in the Materials in public or commercial performances;
-
Use illustrations, characters, designs, or text from the Materials in other publications or products;
-
Use the Materials for teacher-training workshops, seminars, conferences, or public presentations;
-
Share, lend, resell, transfer, or allow access to the Materials or access credentials to another individual, teacher, school, or institution.
6. STUDENT WORK
Students retain copyright ownership of their original ScratchJr creations.
The User may:
-
Display student work within the classroom;
-
Share student work privately with families;
-
Use student work for internal assessment purposes.
Public sharing of student work requires parental or legal guardian consent and must not include Publisher-owned assets beyond those embedded within the student’s project.
7. INTELLECTUAL PROPERTY RIGHTS
All Materials are protected by copyright and other intellectual property laws.
All rights not expressly granted under this Limited Use Licence are reserved by CHESTNUT TREE LEARNING.
ScratchJr is a trademark of the Scratch Foundation and MIT.
This product is not affiliated with, endorsed by, or sponsored by ScratchJr, MIT, or the Scratch Foundation.
8. LICENCE DURATION
This Limited Use Licence remains valid only while the User retains lawful possession of the purchased copy of the Materials.
The licence automatically terminates if the Materials are sold, loaned, shared, transferred, or otherwise distributed.
9. TECHNICAL LIMITATIONS
The Materials are provided in ScratchJr (.sjr) and other standard formats.
The Publisher makes no representation or warranty regarding compatibility with modified, unofficial, or future versions of ScratchJr or other software.
10. DISCLAIMER AND LIMITATION OF LIABILITY
The Materials are provided “AS IS”, without warranties of any kind, express or implied.
To the maximum extent permitted by law, the Publisher shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from the use of the Materials.
11. TERMINATION
This Agreement terminates immediately upon any breach of its terms.
Upon termination, the User must immediately cease all use of the Materials and permanently delete or destroy all copies, whether digital or physical.
12. VIOLATION FEES
The User acknowledges that unauthorized copying, uploading, distribution, or sharing of the Materials causes irreparable harm.
Accordingly, the User agrees to the following fees:

¥20,000 per day for each day the violation continues;
-
¥100,000 flat penalty per incident;
-
An additional ¥20,000 per day for violations involving digital or online distribution;
-
Fees accrue until all unauthorized copies are removed, deleted, or destroyed;
-
Payment is due within thirty (30) days of invoice issuance.
These fees do not limit the Publisher’s right to pursue additional legal or equitable remedies.
13. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of Japan and the UCC.
The courts of Japan shall have exclusive jurisdiction over all disputes arising under or in connection with this Agreement.
